The client had secured a term sheet from a Gulf-based family office for a seed round, conditional on the company being domiciled in a jurisdiction acceptable to the investor. His Kenyan entity was not acceptable as the holding structure for the investment. He had a tight 45-day window before the term sheet expired and had been quoted timelines of 8 to 10 weeks by two other formation agents.
