    Situation

The client had received an unsolicited approach from a Botswana-based firm offering a joint venture, but had no framework for evaluating the opportunity or structuring the terms. He also had no understanding of the tax, compliance, or employment law environment in either market.

    What We Did

We provided a market entry advisory session covering both Botswana and Zambia: legal entity requirements, corporate tax rates, employment law basics, and the practical mechanics of operating cross-border in a services business. We helped him structure a joint venture term sheet for the Botswana opportunity that protected his IP and allowed him to exit cleanly if the arrangement did not perform.

    Outcome

Term sheet prepared and agreed. Joint venture in Botswana operational within 4 months. The Zambia expansion has been deferred by 12 months pending consolidation of the Botswana operation.
